【野村パスポート事務局採用ホームページ会員サービス 会員規約】
○第１条（野村パスポート事務局採用ホームページ会員サービスの定義）
「野村パスポート事務局採用ホームページ会員サービス」（以下「会員サービス」とします）とは、野村ホールディングス株式会社、野村證券株式会社、野村アセットマネジメント株式会社の3社（以下「当社」とします）が運営する野村パスポート事務局が提供するインターネット上の就職情報サービスのことをいいます。
○第２条（会員）
（１）会員とは、就職活動を行う学生のうち、当社が定める方法によって「会員サービス」に登録を申し込み、当社がこれを承認した方をいいます。
（２）会員は、「会員サービス」における会員向けのサービスを受けることができます。
（３）会員は、入会の時点で本規約を承諾しなければなりません。会員が「会員サービス」を利用したときは、この会員規約を承認したものとみなします。
○第３条（会員ＩＤ番号とパスワード）
（１）会員は、会員ＩＤ番号を付与され、パスワードを登録するものとします。ただし、第５条に抵触すると当社が判断した場合は、会員ＩＤ番号を付与されないことがあります。
（２）会員は、会員ＩＤ番号及びパスワードを第三者に譲渡若しくは貸与してはなりません。
（３）会員の会員ＩＤ番号及びパスワードの管理及び使用は会員の責任とし、これらの使用上の過誤又は第三者による不正使用等については、当社は一切の責任を負わないものとします。
○第４条（会員サービス）
（１）会員サービスの期間は、2022年3月1日～2023年3月31日（予定）とします。
（２）当社は、会員への事前の通知なくして、「会員サービス」を変更、中断、中止することがあり、会員はこれを承諾するものとします。
（３）会員は、システム障害などの事情により、会員サービス機能に支障が生じ、若しくは会員サービスが停止する等の可能性がある事を承諾するものとします。
○第５条（会員の禁止行為）
会員は以下の行為を行なわないものとします。
（１）他の会員、当社又は第三者の著作権、肖像権、その他知的所有権を侵害する行為
（２）他の会員、当社又は第三者の財産、信用、名誉、プライバシー、その他権利を侵害する行為
（３）他の会員、当社又は第三者を差別、批判、攻撃、誹謗中傷する行為
（４）「会員サービス」の運営を妨げる行為、またはそのおそれのある行為
（５）当社の業務を阻害する行為、又は不利益を与える行為
（６）個人的な勧誘行為、個人的な物品の売買行為、その他「会員サービス」を利用して、営業活動、営利を目的とした情報提供活動を行うこと
（７）「会員サービス」を通じて入手した情報を複製、販売、出版その他の方法により私的利用の範囲を超えて使用すること
（８）「会員サービス」における政治活動、選挙活動、宗教活動
（９）虚偽の内容に基づいて会員登録する行為
（10）犯罪的行為に結びつく行為、公序良俗に反する行為、その他、法律、法令に反する行為
（11）その他、当社が不適切と判断する行為
○第６条（除名）
当社は、会員が本規約に違反したと判断した場合、若しくは会員として不適切と判断した場合、会員に事前に通知することなく、会員サービスの提供を中止することができるものとし、会員はこれを承諾するものとします。
○第７条（損害賠償）
当社は、「会員サービス」の利用、変更、中断、中止などにより発生した会員の損害すべてに対し、当社に故意又は重過失がある場合を除き、一切の責任を負わないものとします。
また、「会員サービス」の利用により会員又は第三者が被った損害に対し、当社に故意又は重過失がある場合を除き、いかなる責任も負わず、損害賠償をする義務は一切ないものとします。
○第８条（提供された情報の当社による利用）
（１）会員は、会員の氏名、住所、電話番号、メールアドレス、生年月日、及びその他の登録時に提供された情報を、会員の採用活動（当年の採用目的のほか、次年度以降の採用活動の参考資料とすることを含む）及び当該採用活動のための情報提供の目的で当社が利用することを承諾するものとします。
（２）当社は、提供された個人情報をもとに、個人を特定できないように加工した統計データを作成することがあります。個人を特定できない統計データについては、当社は何ら制約なく利用することができるものとします（当該利用には、当社顧客等への各種提案やレポート、当社による新サービスの開発検討等を含みますが、これらに限られません）。なお、この場合の著作権その他一切の権利は当社に帰属するものとします。
（３）当社は、個人情報の保護に関する法律に従い個人情報を取り扱い、正当な理由なく、利用目的を超えて会員の氏名など個人情報を使用したり公開したりしないものとします。なお、当社は、前項の統計データの作成について、第三者に委託する場合があり、会員はこれを承諾するものとします。
（４）会員は、本登録により提供された個人情報について、開示を請求することができ、開示の結果、ご自身の個人情報について、下記事務局に対して抹消・訂正・苦情等の申し出を行うことができます。

○第９条（本規約の変更）（１）当社は、会員の一般の利益に適合する場合、又は、本規約の目的、変更の必要性、変更後の内容の相当性等を考慮して、合理的に必要かつ相当と判断した場合には、本規約を随時変更することができるものとします。
（２）当社は、本規約の変更を行うこと、変更の内容及び変更の効力発生日を、インターネット上に表示します。
（３）本規約の変更の効力発生日後、会員が「会員サービス」を利用した時点で、当該会員はこの変更を了承したものとみなします。
○第10条（準拠法及び管轄裁判所）
本契約は日本法に準拠し、日本法に従って解釈されるものとする。また、本契約に関して発生する紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とする。

この規約は2022年3月1日から実施します。

Nomura Passport Team Employment Website Membership Services: Membership Terms
○Article 1 Definition of Nomura Passport Team Employment Website Membership Services
The Nomura Passport Team Employment Website Membership Services (hereinafter referred to as “Membership Services”) means the online employment information service provided by the Nomura Passport Team that Nomura Holdings, Inc, Nomura Securities Co., Ltd. and Nomura Asset Management Co., Ltc. (hereinafter referred to as the “Company”) manages.
○Article 2 Members
(1) Members means students seeking employment who have applied to register for Membership Services by a means prescribed by the Company, and whose application has been approved by the Company.
(2) Members are entitled to receive Membership Services aimed at members.
(3) Members must agree to these Terms when they become a member. Members shall be deemed to have agreed to these Terms when using the Membership Services.
○Article 3 Membership ID Number and Password
(1) Members are issued with a membership ID number and register a password; provided, however, that membership ID numbers may not be granted if the Company judges that Article 5 had been violated.
(2) Members shall not transfer or lend their membership ID number or password to a third party.
(3) Members are responsible for the management and use of their membership ID number and password, and the Company shall assume no responsibility whatsoever for misuse of their membership ID number and password, or for unauthorized use of membership ID numbers and passwords by a third party.
○Article 4 Membership Services
(1) Membership Services shall be provided from March 1, 2022 to March 31, 2023 (tentative schedule).
(2) Members shall accept that the Company may change, discontinue, or suspend Membership Services without notifying Members in advance.
(3) Members shall accept that Membership Service functions may fail or Membership Services may be suspended, etc. due to system failures or other circumstances.
○Article 5 Prohibited Conduct
Members shall not:
(1) Infringe the copyrights, portrait rights, or other intellectual property rights of other members, the Company, or a third party
(2) Infringe the property, credibility, honor, privacy, or other rights of other members, the Company, or a third party
(3) Discriminate against, criticize, attack, or defame other members, the Company, or a third party
(4) Hinder or risk hindering the operation of Membership Services
(5) Impede the Company’s business or inflict losses on the Company
(6) Engage in personal solicitation activities, trade personal items, engage in other sales activities or information provision activities for profit purposes using the Membership Services
(7) Use any information obtained through the Membership Services in excess of the scope of personal use by copying, selling, publishing, and other means,
(8) Engage in political, electoral, or religious activities in the Membership Services
(9) Engage in member registration based on false information
(10) Engage in acts linked to criminal conduct, acts that violate public order and morals, or other acts that violate laws and regulations
(11) Engage in other activities that are deemed by the Company to be inappropriate
○Article 6 Expulsion
Members shall accept that the Company may suspend provision of Membership Services without notifying Members in advance if Members are judged to have violated these Terms or are judged to be unsuitable as members.
○Article 7 Compensation for Loss or Damage
Except in cases of the Company’s willful misconduct or gross negligence, the Company shall not assume any responsibility for any loss or damage to Members resulting from the use, alteration, discontinuation, or suspension, etc. of Membership Services.
In addition, except in cases of the Company’s willful misconduct or gross negligence, the Company shall not assume any responsibility for loss or damage suffered by Members or a third party as a result of using Membership Services, and is not obliged to compensate for any loss or damage.
○Article 8 Use by the Company of Information Provided
(1) Members shall agree that Company uses information, namely name, address, telephone number and other information registered at the time of application, provided by Members for recruitment of Members by the Company and information provision activities for such recruitment (in addition to the purpose of hiring in the current year, it should be used as reference material for recruiting activities in the following year and thereafter.).
(2) The Company may create processed statistical data that does not enable the identification of individuals based on personal information provided. The Company may use, without any restrictions, statistical data that cannot identify individuals (such use includes but not limited to, proposals and reports to the Company’s customers, etc., and the development and investigation, etc. of new services by the Company). Copyrights and all other rights in such cases shall belong to the Company.
(3) The Company shall treat personal information in accordance with Act on the Protection of Personal Information of Japan (Kojin-Jouhou-Hogo-Hou), and shall not use or disclose personal information, including the names of Members, in excess of the purpose of use, without justifiable grounds. Members shall accept that the Company may outsource the preparation of statistical data provided for in the preceding paragraph to a third party.
(4) Members can request to disclose how to use the personal information provided at the time of registration and after the disclosure, can request the deletion, correction, complaint, etc. to the following organization group.

○Article 9 Alterations to These Terms
(1) The Company may amend these Terms as needed if (i) such amendment conforms to the general interests of Members or (ii) the Company reasonably determines that such amendment is necessary and reasonable in light of the original purpose of these Terms, the necessity of such amendment, reasonableness of contents of such amendment and other factors.
(2) The Company shall announce the amendment of these Terms, contents of such amendment and the effective date of such amendment on the internet.
(3) After the effective date of the amendment, Members shall be deemed to have agreed to the amendment if Members use the Membership Services.
○Article 10 Governing Law and Jurisdiction
These Terms shall be governed by, and construed in accordance with, the laws of Japan. With respect to any suit, action or proceeding relating to these Terms, each party irrevocably submits to the exclusive jurisdiction of the Tokyo District Court.
○ Supplementary Provisions
These Terms are effective from March 1, 2022.
